We are Aimfluance LLC ("Company," "we," "us," or "our") a company registered in Austin, Texas. We operate aimfluance.com as well as any other related products and services that refer to or link to this Policy (collectively, the "Services").

PAYMENT METHODS AND PROCESSING

 

1. Payment Methods:

• Accepted Payment Methods: We accept various forms of payment including, but not limited to, credit cards, debit cards, and electronic transfers. Payments can be made through our secure payment gateway.

• Processing Fees: Some payment methods may incur additional processing fees. Any applicable fees will be clearly indicated at the time of payment.

• Payment Security: We use industry-standard encryption and security measures to ensure that your payment information is protected. • Declined Payments: Payments may be declined due to reasons such as insufficient funds, expired credit cards, or incorrect payment details. If your payment is declined, you will be notified and asked to provide alternative payment methods. Failure to resolve declined payments may result in a delay or cancellation of the service.

2. Currency and Prices:

• Currency: All prices for our services are quoted and billed in United States Dollars (USD). Any reference to pricing in other currencies is for informational purposes only and may vary based on exchange rates and applicable fees.

• Price Changes: Prices are subject to change without prior notice. The price applicable to your service will be the one in effect at the time of your booking or purchase.

3. Payment Processing:

• Authorization and Charges: Upon booking or purchasing our services, you will be charged the total amount as indicated on your invoice or confirmation. Payment authorization and processing will be carried out through our payment gateway provider, Wix Payments.

• Invoice and Receipts: An invoice and receipt will be provided for each transaction. If you do not receive a receipt or if there is an issue with the transaction, please contact us immediately.

• Refunds: Refunds, if applicable, will be processed back to the original payment method used for the transaction. The processing time for refunds may vary depending on the payment method and provider. For more information, please refer to the refund section below.

REFUND, RETURN, AND CANCELLATION POLICY

 

1. Refunds for Courses, Conferences, Workshops, Trainings and Certifications:

• Cancellation by Client:

  • In-Person Services (International Travel): If you need to cancel or reschedule a booked in-person course, conference, workshop, training or certifications involving our travel and accommodation, please notify us in writing at least 45 days prior to the scheduled date. Cancellations made within 45 days are non-refundable. Rescheduling requests will be accommodated based on availability and may incur additional fees.

  • In-Person Services (Domestic US): For in-person services within the US, cancellations must be made at least 30 days before the scheduled date to receive a full refund. Cancellations made within 30 days are non-refundable. Rescheduling requests will be accommodated based on availability and may incur additional fees.

  • Remote Services: For remote services, cancellations must be made at least 15 days before the scheduled date to receive a full refund. Cancellations made within 15 days are non-refundable. Rescheduling requests will be accommodated based on availability and may incur additional fees.

• Refund Processing: Approved refunds will be processed within 20-30 business days to the original payment method. Refunds will be issued as a credit to your original payment method unless otherwise specified.

• No-Shows: Clients who do not attend or engage with the booked service (whether in-person or remote) or do not provide timely notice of cancellation are not eligible for a refund.

 

2. Refunds for Consulting Services:

• Cancellation by Client:

  • In-Person Consulting: To cancel or reschedule an in-person consulting session or package, a written notice must be provided at least 15 days in advance. Cancellations made with less than 15 days' notice will incur a fee of 50% of the scheduled service cost. Rescheduling requests will be accommodated based on availability and may incur additional fees.

  • Remote Consulting: For remote consulting services, a written notice must be provided at least 7 days in advance to avoid a cancellation fee. Cancellations made with less than 7 days' notice will incur a fee of 50% of the scheduled service cost. Rescheduling requests will be accommodated based on availability and may incur additional fees.

• Refund Eligibility: Refunds for consulting services are only available if the client cancels more than 15 days (for in-person) or 7 days (for remote) before the scheduled session. Refunds will be issued to the original payment method within 10 business days of the cancellation notice.

• Service Disputes: If there are issues or dissatisfaction with the consulting services, please contact us within 7 days of the service to discuss potential resolutions. We strive to address any concerns promptly and to the best of our ability.

 

3. Replacement Policy:

• Event Changes:

  • In-Person Services: If we need to reschedule or change the date of a booked in-person service that involves our travel and accommodation, clients will be offered the option to reschedule the service or receive a full refund. We will notify clients of any changes as soon as possible.

  • Remote Services: For remote services, if rescheduling is necessary, clients will be provided with the option to join the rescheduled session or receive a full refund. Notifications of changes will be sent as promptly as possible.

• Service Issues: If a consulting service (in-person or remote) is not delivered as agreed, please contact us within 7 days. We will work to provide a resolution, which may include rescheduling the session or offering credit towards future services.

 

4. Termination and Outstanding Invoices:

• Client Termination: You may terminate this Agreement for cause upon written notice to us. In the event of termination by you, you shall pay Aimfluance LLC a fair and reasonable sum, calculated as the agreed-upon hourly rate or project fee or service fee, prorated for the portion of Services completed, to compensate for the value of Services rendered up to the date of termination.

• Aimfluance LLC Termination: We may terminate our Service at any time with or without cause, upon written notice to you. Reasons for termination may include but are not limited to: your failure to provide accurate, complete, and current information about yourself and your company; your failure to pay for our Services; any suspected illegal activity; or any other lawful reason. In the event of termination by Aimfluance LLC for your breach of this Agreement, you shall still be obligated to pay for all Services rendered up to the date of termination, in accordance with the agreed-upon payment terms.

• Outstanding Invoices: You are responsible for paying any and all outstanding invoices for Services rendered prior to termination.

 

5. Governing Law and Dispute Resolution:

• Governing Law: This Agreement shall be construed in accordance with and governed by the laws of the State of Texas, without regard to its conflict of laws principles.

• Dispute Resolution: In the event of a dispute arising from this Agreement, both Aimfluance LLC and the Client agree to engage in a good faith effort to resolve the disagreement collaboratively. This process will follow a series of steps:

i. Mediation: The parties may first choose to participate in non-binding mediation. A neutral third-party mediator will facilitate communication and guide discussions towards a mutually agreeable resolution. The costs of mediation will be shared equally by both parties.

ii. Negotiation: If mediation is unsuccessful, or if both parties choose to bypass it, they will then engage in direct negotiation. This involves open communication and attempts to reach a settlement that satisfies both parties' interests. Each party agrees to designate a representative with full settlement authority to participate in these discussions.

iii. Binding Arbitration: Should negotiation fail to resolve the dispute within a specified timeframe (60 days) from the date of the written notification of the dispute, the matter will be settled through binding arbitration conducted in accordance with the rules of the American Arbitration Association. The decision of the arbitrator will be final and binding on both parties. The costs of arbitration, including arbitrator fees and administrative fees, will be handled according to the AAA rules.

• Exceptions to Informal Negotiations and Binding Arbitration: The following disputes are not subject to the foregoing provisions concerning informal negotiations and binding arbitration, and shall be resolved in a court of competent jurisdiction within the courts listed for jurisdiction above:

a. Aimfluance's Intellectual Property Rights: Any dispute seeking to enforce, protect, or concerning the validity of any intellectual property rights of Aimfluance, including, but not limited to, copyrights, trademarks, patents, and trade secrets.

b. Misconduct by Client: Any dispute related to, or arising from, allegations of theft, piracy, invasion of Aimfluance's privacy, or unauthorized use of Aimfluance's confidential information by the Client.

c. Injunctive Relief Sought by Aimfluance: Any claim for injunctive relief sought by Aimfluance, which is a court order to prevent the Client from taking a specific action that would harm Aimfluance.

• Court Litigation: Only if all other methods fail to resolve the dispute will either party have the right to resort to litigation in the courts of the State of Texas located in Travis County, Texas, without regard to its conflict of laws principles. This option should be considered a last resort due to the potential for higher costs and longer timelines compared to alternative dispute resolution methods.

• Severability: If any portion of this provision is found to be illegal or unenforceable, such portion shall be severed from the remainder of this provision, which shall remain in full force and effect.

 

6. Force Majeure:

• Definition and Scope: Any event of whatever nature, which is beyond the control of one of the Parties, including but not limited to proven accidents, strikes, acts of third parties, natural disasters, or governmental actions affecting the operation of the Parties, shall constitute a force majeure event.

• Suspension of Obligations: In the event of a force majeure, the affected Party shall promptly notify the other Party in writing. The performance of the Agreement shall be suspended for the duration of the force majeure event, provided that the affected Party takes all reasonable steps to mitigate the impact of the force majeure event.

• Duration and Termination: If the force majeure event is temporary, performance and this Agreement shall be suspended until the event ceases to affect the performance of the Agreement. If the force majeure event lasts for more than three (3) months, either Party may terminate the Agreement by providing a registered letter or certified email with acknowledgment of receipt to the other Party.

• Obligations on Termination: Upon termination of the Agreement due to a force majeure event, neither Party shall be liable for any delay or failure in performance caused by the force majeure event. Each Party shall bear its own costs incurred up to the date of termination, and any payments made for services not rendered shall be refunded.

• Resumption of Performance: Once the force majeure event ceases, the Parties shall resume their obligations under the Agreement. If necessary, the Parties may agree in writing on a revised schedule for the performance of the Agreement.

 

7. General Terms:

• Non-Refundable Items: Certain fees, including administrative and processing fees, may be non-refundable as specified during the booking process.

• Chargebacks and Disputes: We aim to resolve any disputes amicably and encourage you to contact us directly with any concerns before initiating a chargeback. Chargebacks initiated without prior resolution attempts may result in additional administrative fees and potential suspension of access to services.
